DLGS 231 - Organisation, management and control Model as indicated in Legislative Decree 231/2001
The Company Cobra AT S.p.A. observes an organisation, management and control Model as indicated in Legislative Decree 231/01.
The Model has been approved by the Board of Directors on 14 September 2007 and is continuously updated, following the organisational changes that have an impact on the Operational Protocols adopted. Furthermore, the Model is being updated every time the Legislative Decree is modified, introducing new Criminal Offenses of the administrative responsibility of the Organisation. In the sphere of the Model, Cobra AT S.p.A.has introduced in its Code of Conduct the fundamental guidelines that should guide the behaviour of the Company employees as well as the Company external partners.
Together with the approval of the Model, the Board of Directors has created a Supervisory Body as indicated in art 6. Of the Decree. The Body is at the level of the Board of Directors and Trade Unions and acts independently.The Supervisory Body is made of 2 Independent Administrators and 1 Internal Member (Operation Excellence Director).
The Supervisory Body is responsible for the observance of the Model. It is also the Body’s responsibility to inform the company management about necessary modifications of the Model or additional Operational Protocols.
Any officer or employee is authorised to inform the Supervisory Body about behaviours that can reasonably be considered as violations of the Protocols included in the Model or the Code of Conduct.
